  1. Lot LOT-0001: RV Change-Management, -Kommunikation und Weiterentwicklung der Unternehmenskultur

    Gegenstand der Rahmenvereinbarung ist die Beschaffung von Unterstützungs- und Beratungsleistungen im Change-Management, Change-Kommunikation sowie die Weiterentwicklung der Unternehmenskultur. Ziel ist es, interne Verantwortliche bei der Planung, Umsetzung und Weiterentwicklung von Maßnahmen zur Förderung einer positiven Unternehmenskultur sowie bei der professionellen Begleitung von Veränderungsvorhaben zu unterstützen. Der Abruf der Leistungen erfolgt bedarfsbezogen, ein konkreter Zeitraum kann nicht angegeben werden. Ein Anspruch auf die Abnahme der Dienstleistung besteht nicht. Es wird hierbei von folgenden Auftragsmengen pro Vertragsjahr ausgegangen: - Auftragsmenge pro Vertragsjahr: ca. 160 Personentage Im Übrigen wird auf die Ausführungen der Anlage 2 zum Vertrag - Leistungsbeschreibung verwiesen. Die Vertragslaufzeit beginnt mit Zuschlagserteilung frühestens aber zum 19.01.2027 und beträgt, sofern vorher keine Kündigung erfolgt, zunächst zwölf Monate (Mindestvertragslaufzeit). Die Auftraggeberin behält sich vor, den Vertrag dreimal um jeweils ein Jahr zu verlängern (optionale Vertragszeiträume). Die Mindestvertragslaufzeit verlängert sich automatisch um ein weiteres Jahr, sofern nicht drei Monate vor Ablauf der Vertragslaufzeit eine Kündigung durch die Auftraggeberin erfolgt. Für die weiteren optionalen Verlängerungen gilt selbiges. Der Vertrag endet in jedem Fall mit dem Erreichen der maximalen Gesamtauftragsgrenze von 1.000.000,00 EUR netto; 1.190.000,00 EUR brutto (inkl. optionaler Leistungen) Die geschätzte Abnahmemenge ist der Anlage 3 zum Vertrag - Preisblatt zu entnehmen. Wird der Auftragswert durch eine Auftragsänderung während der Vertragslaufzeit gem. § 132 GWB erhöht, so endet der Vertrag mit dem Erreichen dieses neuen Auftragswertes. Vom Vertragsende unberührt bleibt die Verpflichtung des Auftragnehmers zur vertragskonformen Leistungserbringung der im Vertragszeitraum erfolgten Beauftragungen.
